PeaceWork Music Master License Agreement

This agreement is made the _________ day of ____________, 20_____, by and between

_______________________________________________________________(you, your, yours)

and PeaceWork Music (us, we, our, ours).

The term "Material" means any and all material you submit to us, including songs, recordings, musical works, photographs, videos and any other material of any kind.

WHEREAS you have sole and exclusive rights to certain recordings (Master) detailed in the Schedule(s) hereto attached, and we wish to license the Master under the following terms and conditions:

You grant us the non-exclusive right to manufacture, distribute and sell to the public reproductions of the Master embodied on compact disc, cassette, phonograph records and mp3 or other digital formats, through the Peacework Music Net in the United States and its international affiliates. We may also promote, distribute and sell reproductions of the Master through other websites and/or distribution companies on the same terms and conditions.

Notwithstanding any other provisions contained within this contract, all rights, title and interest in the Master shall remain vested in you and any royalties accruing by reason of any public performance of any work contained within the Master shall be paid to you.

You grant us permission to use your images, logos, artwork, and the names and likenesses of the artists whose performances are embodied in the Master for promotional purposes, or as part of an enhanced compact disc.

We do not have rights to use or license your name, images, logo etc., for purposes other than for promotion in conjunction with the sale of CD's, records or live performances. If we receive consideration from any party by reason of the use of the your name, likeness, logo etc. a payment of 80% of the consideration received will be paid to you.

You shall supply finished master recordings and artwork to us. Test copies, artwork, liner notes, press releases and advertising material relating to the sale of the Master will be subject to your approval.

We shall pay you a royalty of 30% (Thirty per cent) of the retail selling price of each copy of the Master, and will furnish a statement of account and pay all due royalties to you at the end of each calendar quarter in which any sales are made by us.

You shall pay all publishing, producer, and any other third party royalties connected with the Master.

You shall have the right to inspect our books and accounts relating to sales of the Master.

We shall be entitled to use up to 200 copies of the Master, royalty free, for promotional purposes, and we may offer a royalty free mp3 sample from the Master with your consent.

We may use the Master or individual tracks from the Master on compilation albums, and calculate royalties on such compilations on a pro rata basis.

In the event we secure or substantially negotiate sub-licenses in respect of the Master, we shall be entitled to a commission of 15% (fifteen per cent) of revenues resulting from such sub-licenses, which shall be paid directly to us from sub-licensee. However, we shall not enter into any sub-licenses without your prior written consent.

We cannot assign any rights granted herein to any company, individual, or other third party without your express written consent.

Unless otherwise agreed between the parties, this agreement shall terminate 24 months from the date listed above. We shall have the right to sell remaining copies of the Master for an additional 12 months after expiration of this agreement.

We will manufacture copies of the Master and offer them for sale to the public within six months of the date hereof, and use its best efforts to promote the master.

This agreement shall be in accordance with the laws of the State Of Oregon.

If the album is a multi-volume work, use one schedule for each volume and place the volume number or name in parentheses following the "Title of Album" and place an alpha character (a,b,c, etc.) following the page number at bottom.
